1. Our Services

Territory.io provides customer story video production and related marketing services. Depending on the project, our services may include:

• Helping a client identify potential customer participants
• Scheduling and conducting remote interviews
• Recording video and audio
• Editing interviews into customer story videos
• Adding logos, captions, graphics, music, or other production elements
• Creating excerpts, clips, or alternate versions
• Delivering completed video files
• Providing related creative or marketing services

The exact scope, deliverables, price, schedule, and other project-specific terms may be described in an order form, proposal, invoice, checkout page, email confirmation, statement of work, or other written agreement.

If a project-specific agreement conflicts with these Terms, the project-specific agreement controls with respect to that conflict.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase our services.

If you use our services for a business or organization, you represent that you are authorized to act on its behalf and provide any instructions, materials, approvals, or permissions required for the project.

3. Client Responsibilities

You agree to:

• Provide accurate and complete project information
• Respond to reasonable scheduling, production, and approval requests
• Provide necessary logos, brand guidelines, images, and other materials
• Review drafts and provide clear, timely feedback
• Obtain any organizational approvals required to proceed
• Avoid requesting content that is unlawful, misleading, defamatory, infringing, or deceptive
• Use completed work in compliance with applicable laws and platform requirements

Project schedules may be extended when information, materials, participation, feedback, or approvals are delayed.

4. Customer Participants and Consent

When you introduce, nominate, or provide contact information for a customer or other person who may participate in a video, you represent that you have a legitimate business reason to do so and that your actions comply with applicable law.

Territory.io may contact potential participants for scheduling and production purposes.

Participants may be asked to provide permission to record, edit, use, and publish their name, voice, likeness, statements, and other contributed material. This authorization may be collected through a separate release, consent form, recorded confirmation, or other documented process.

You agree not to instruct Territory.io to record or use a person's identity, likeness, voice, or statements without the permissions required by law.

When a participant withdraws before recording or declines to provide the necessary authorization, Territory.io may be unable to complete that portion of the project. Any replacement, rescheduling, or additional work will be handled according to the applicable project agreement.

5. Accuracy of Customer Statements

Customer story videos contain the experiences, opinions, and statements of individual participants. Territory.io does not independently guarantee the accuracy of every claim made by a client or participant.

The client is responsible for reviewing the completed content and determining whether claims about its products, services, results, or customers are accurate, appropriately qualified, and legally compliant before publication.

Territory.io may decline to include statements that appear unlawful, deceptive, defamatory, or likely to infringe another party's rights.

6. Fees and Payment

You agree to pay all fees described in the applicable proposal, invoice, checkout page, order form, or other project agreement.

Unless otherwise stated:

• Payment is due according to the terms shown at the time of purchase
• Fees are stated in U.S. dollars
• You are responsible for applicable taxes, excluding taxes based on Territory.io's net income
• Work may be paused if a payment becomes overdue
• Additional work outside the agreed scope may require an additional fee
• You are responsible for reasonable costs associated with collecting overdue amounts where permitted by law

We may use third-party payment processors. Your use of those payment services may also be subject to the processor's terms and privacy policy.

7. Cancellations and Refunds

Cancellation, rescheduling, and refund terms included in a proposal, order form, checkout page, or other project-specific agreement will apply to that project.

Unless otherwise stated in writing, payments for work already performed, interviews already conducted, third-party expenses already incurred, or production time already reserved are nonrefundable.

If Territory.io is unable to provide a purchased service, we may offer a replacement service, project credit, or an appropriate refund for the portion that was not provided.

Nothing in this section limits any non-waivable rights provided by applicable law.

8. Scheduling and Participation

Interview and delivery dates are estimates unless Territory.io expressly agrees to a firm deadline in writing.

Territory.io is not responsible for delays caused by:

• Participant availability or nonattendance
• Delayed client feedback or approval
• Incomplete or inaccurate information
• Technical problems outside our reasonable control
• Third-party platforms or service providers
• Events beyond our reasonable control

If an interview participant misses or cancels a scheduled recording, additional scheduling or production fees may apply when disclosed and agreed upon.

9. Revisions and Approval

The number and type of revisions included in a project may be stated in the applicable proposal or order.

Revision requests must remain reasonably consistent with the originally agreed scope. Requests involving a new creative direction, additional deliverables, significant restructuring, new interviews, or changes after final approval may require additional fees.

When you approve a video or other deliverable, you confirm that you have reviewed it and authorize Territory.io to finalize or deliver it.

You are responsible for reviewing names, titles, captions, logos, factual claims, contact information, and other details before granting final approval.

10. Client Materials

"Client Materials" means logos, trademarks, photographs, videos, music, written content, customer information, brand assets, and other materials you or someone acting on your behalf provides to Territory.io.

You retain ownership of your Client Materials.

You grant Territory.io a limited, nonexclusive license to access, reproduce, modify, edit, display, transmit, and otherwise use the Client Materials as reasonably necessary to:

• Provide the requested services
• Create and deliver the project
• Communicate with participants
• Maintain project records and backups
• Exercise any portfolio or promotional rights separately authorized under these Terms or another agreement

You represent that you own or have obtained the rights necessary for Territory.io to use the Client Materials as directed. You are responsible for claims arising from materials you provide without the necessary permission.

11. Territory.io Materials and Production Elements

Territory.io retains ownership of its preexisting materials, production methods, templates, processes, know-how, software, design systems, and other intellectual property that was not created exclusively for a particular client.

A completed deliverable may incorporate:

• Territory.io templates and production elements
• Licensed music, fonts, graphics, stock media, or software
• Third-party materials subject to separate license terms
• General skills, techniques, concepts, or production knowledge

Any transfer or license of rights in completed deliverables is subject to full payment and the terms of the applicable project agreement.

Unless expressly included in the project scope, raw footage, editable project files, source files, production templates, and internal working files are not required deliverables.

12. Rights to Completed Deliverables

After Territory.io receives full payment, the client may use the approved completed deliverables for its lawful business and marketing purposes, subject to:

• Any limitations in the applicable project agreement
• Participant permissions and releases
• Third-party license restrictions
• Applicable laws and advertising requirements
• The rights Territory.io retains in its preexisting materials and production elements

The client may publish approved deliverables on websites, social media, video platforms, advertisements, email campaigns, presentations, and other marketing channels, provided the use does not misrepresent a participant's statements or violate applicable law.

The client may not resell or license the completed deliverables as standalone stock content or production templates unless Territory.io agrees in writing.

13. Portfolio and Promotional Use

Unless a project agreement states otherwise, the client grants Territory.io permission to display completed, publicly released work and reasonable excerpts from that work in Territory.io's portfolio, website, social media, proposals, presentations, demonstrations, and promotional materials.

Territory.io will not intentionally publish confidential, unreleased content as a portfolio example without appropriate authorization.

If you require a project to remain confidential or do not want it included in Territory.io's portfolio, you must notify Territory.io in writing before the project begins or as otherwise agreed.

Portfolio use remains subject to applicable participant permissions.

14. Confidentiality

Each party may receive nonpublic business, technical, customer, or project information from the other party.

Each party agrees to use the other party's confidential information only as reasonably necessary to perform or receive the services and to protect it using reasonable care.

Confidential information does not include information that:

• Is or becomes publicly available through no breach of these Terms
• Was already lawfully known to the receiving party
• Is received lawfully from another source without a confidentiality obligation
• Is independently developed without using the other party's confidential information

A party may disclose confidential information when required by law, subpoena, or court order, provided it gives notice when legally permitted.

15. Acceptable Use

You may not use our website or services to:

• Violate any law or regulation
• Infringe intellectual property, privacy, publicity, or other rights
• Create or distribute fraudulent, deceptive, or defamatory content
• Harass, threaten, exploit, or impersonate another person
• Introduce malicious code or interfere with website security
• Attempt to gain unauthorized access to systems or information
• Scrape, copy, or use website content in an unauthorized manner
• Misrepresent your relationship with Territory.io
• Use a participant's recording beyond the permission provided

We may decline, suspend, or terminate services involving prohibited conduct.

16. Third-Party Services

Our website and services may use or link to third-party platforms, including website hosting, scheduling, video conferencing, payment, file storage, analytics, communications, and social media services.

We do not control and are not responsible for the availability, security, policies, or performance of third-party services.

A third-party platform's modification, interruption, or termination may affect a project or the availability of certain functionality.

17. Website Content

Information on Territory.io is provided for general informational and promotional purposes. We may update, remove, or modify website content at any time.

We try to present accurate information, but we do not guarantee that every website statement will always be complete, current, or error-free.

Examples, testimonials, case studies, and descriptions of previous results do not guarantee that another client will achieve the same outcome.

18. No Guaranteed Results

Territory.io does not guarantee that a customer story video or other service will produce a particular number of leads, sales, views, engagements, conversions, revenue, or other business results.

Marketing outcomes depend on many factors outside Territory.io's control, including the client's offer, reputation, audience, distribution, advertising, sales process, market conditions, and use of the completed content.

19. Disclaimer of Warranties

To the fullest extent permitted by law, the website and services are provided on an "as is" and "as available" basis.

Territory.io disclaims all warranties not expressly stated in a written project agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Territory.io does not warrant that the website or services will be uninterrupted, error-free, completely secure, or suitable for every particular use.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

20. Limitation of Liability

To the fullest extent permitted by law, Territory.io and Fully Remote Recruiting LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data arising from the website, services, or completed deliverables.

To the fullest extent permitted by law, the total liability of Territory.io and Fully Remote Recruiting LLC for any claim arising from or relating to a particular project will not exceed the amount the client paid Territory.io for that project during the six months preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory asserted and even if a party was advised that damages were possible.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

21. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Territory.io, Fully Remote Recruiting LLC, and their owners, employees, contractors, and service providers from claims, damages, liabilities, judgments, losses, and reasonable expenses arising from:

• Client Materials you provide
• Instructions you give Territory.io
• Your use or publication of completed deliverables
• Your violation of these Terms or applicable law
• Your infringement of another party's intellectual property, privacy, publicity, or other rights
• Claims about your products, services, business, or marketing statements
• Your failure to obtain permissions you were responsible for obtaining

This section does not require you to indemnify Territory.io for claims caused solely by Territory.io's own intentional misconduct or other liability that cannot legally be limited.

22. Suspension and Termination

Territory.io may suspend or terminate access to the website or services if:

• You materially violate these Terms
• Required payments become overdue
• Continuing the project may violate the law or another party's rights
• Your conduct creates a security, legal, or reputational risk
• You misuse or threaten our personnel, contractors, participants, or systems

Termination does not eliminate payment obligations or other provisions intended to survive termination.

Sections concerning payment, intellectual property, confidentiality, disclaimers, liability, indemnification, and dispute resolution survive termination.

23. Governing Law and Venue

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-law rules.

Any legal action arising from these Terms or the services must be brought in a state or federal court with jurisdiction in New Hampshire. Each party consents to the personal jurisdiction of those courts.

Before filing a legal action, the parties agree to make a good-faith effort to resolve the dispute through direct communication.

24. Changes to These Terms

We may update these Terms periodically. When we do, we will revise the effective date at the top of this page.

Updated Terms apply prospectively from the effective date. Terms applicable to an existing paid project will not be materially changed during that project unless required by law or agreed to by both parties.

25. Electronic Communications

You agree that agreements, notices, approvals, disclosures, invoices, and other communications may be provided electronically.

Electronic acceptance, including submitting an order, approving a proposal, selecting a checkbox, sending written approval by email, or making payment, may have the same legal effect as a handwritten signature where permitted by law.

26. Assignment

You may not assign your rights or obligations under these Terms without Territory.io's prior written consent.

Territory.io may assign these Terms in connection with a merger, acquisition, sale of assets, corporate reorganization, or transfer of the business.

27. Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or removed if modification is not possible.

The remaining provisions will continue in effect.
